AGREEMENT/TERMS AND CONDITIONS:
Thank you! American Bankers Association (“ABA”) sincerely appreciates your willingness to provide us your copyrighted materials (“Materials”) for our use and distribution for advocacy purposes in, but not limited to, our print publications, electronic communications, our websites (including www.aba.com and the website of our grassroots initiative, www.SecureAmericanOpportunity.com)or in any other medium either now known or hereinafter created (collectively, “communications”). This form shall serve as the agreement (“Agreement”) between you and ABA for the purpose below. Your license to ABA shall commence on the date of submission and shall continue in perpetuity (“Term”), but either party can terminate the license upon reasonable notice. You may revoke your license to ABA by emailing
[email protected]. Upon request, ABA will remove materials within 20 business days. ABA can remove material at any time in ABA’s sole discretion. Please sign below to acknowledge and accept our terms before we can use your Materials.
1. Purpose. You acknowledge and agree that you may provide ABA with Materials for the Term solely for the purpose of distribution in grassroots communications and website for advocacy, educational and reference purposes, subject to ABA’s approval.
2. License. You hereby grant to ABA a non-exclusive, non-transferable, license for the Term to scan, upload, edit, reproduce and distribute the Materials on its Website and communications, and in doing so ABA shall have the right to reproduce, store or introduce into a retrieval system and transmit by any means, including but not limited to, electronic, mechanical, photocopy, or otherwise, the Materials. You understand that no compensation will be paid to you or any other entity for use of the Materials. You further understand that the appearances of any copyright notices or disclaimers on the Materials is your sole responsibility, including the form and format of all attribution statements as the author. ABA acknowledges and agrees that nothing in this Agreement conveys to ABA any intellectual property rights or any other right, interest or title to your Materials. ABA may edit for grammar and brevity. ABA may further, at its discretion use only portions of the Materials, but agrees it shall not make any material alterations that may change the overall content contained therein. If you are submitting on behalf of a business, organization or other entity, you assert that you have the authority to submit Materials on behalf of the entity.
3. Confidentiality. You acknowledge and agree that the Materials provided are not confidential and the sharing of Materials does not breach any personal or entity confidentiality requirements. You acknowledge and agree that the Materials provided do not violate antitrust laws or cannot be construed as a restraint on trade and do not include competitively sensitive data such as price and cost information, or statements that could be construed as reflecting an attempt or desire to control or influence a particular market or markets. Future pricing or other prospective competitive information should never be shared.
4. Warranty/Indemnity/Release. You represent and warrant that the Materials are original, factually accurate, contain nothing defamatory or otherwise unlawful, do not infringe on the copyrights or other intellectual property rights of any third person, business, or corporation, and that the Materials submitted are owned by you or the entity on whose behalf you are submitting and you have permission to grant the license herein or the entity has a valid, current license from any individuals or organizations whose content are included or used in the Materials and grants ABA the rights identified herein. You agree to indemnify the ABA against any and all claims related to or associated with the copyright or intellectual property of the Materials or any negligent and reckless acts or omission by you or the entity on whose behalf you are submitting relating to Materials submitted to ABA that you or the entity on whose behalf you are submitting obtained or failed to obtain permission and/or license from a third party prior to its submission of such Materials to ABA. You hereby release ABA from any wrongdoing or liability regarding any infringement claims based on the Materials provided by you and distributed on its Website.
This Agreement is governed by and construed under the laws of the District of Columbia. This Agreement may be signed by the parties electronically, including e-signature, and sent by electronic transmission and be deemed executed.
